Chapter 6 - THE BOARDROOM KNIFE

At seven fifty the next morning, Nathan entered Cole Tower carrying no briefcase.
That alone made people stare.
He usually arrived with three folders, two phones, and an assistant walking beside him.
Today he carried only Charles's handwritten confession in an inside pocket and the knowledge that several people in the building wanted him removed before he could expose them.
Grace and Lily were in a secure family-services residence under Detective Owen Mercer's protection.
Nathan had spoken to them at six.
Lily had asked whether he ate pancakes.
He had answered yes.
She had informed him that blueberry pancakes were better than plain pancakes and then hung up to watch a cartoon.
The ordinary conversation had almost broken him.
Five minutes later, Marcus had called to say the Cole Industrial board intended to suspend Nathan.
Now the elevator doors opened onto the forty-second floor.
Frederick Sloan waited outside the boardroom.
"Nathan."
"Frederick."
The chairman looked eighty years old instead of sixty-eight.
"I wish this were happening under different circumstances."
"You scheduled it."
"The bylaws required me to act after receiving a formal petition from three directors."
Nathan looked through the glass wall.
All eleven board members were seated.
Victoria sat at the far end despite not being a director.
Sebastian sat beside her.
Nathan turned back to Frederick.
"Why are they in my board meeting?"
"Vale Capital holds observer rights under the consolidation agreement."
"The consolidation that was secretly conditioned on my marriage?"
Frederick's expression changed.
Nathan saw it.
"You knew."
"I knew there were family conditions."
"Do not hide behind nouns."
Nathan stepped closer.
"Did you know my father and Sebastian planned my marriage to Victoria before I met her?"
Frederick looked away.
That was the answer.
Nathan laughed once.
"How many people were at my engagement party pretending it was romantic?"
"Nathan, this meeting is about the company's stability."
"No."
Nathan opened the boardroom door.
"This meeting is about who gets to define stability."
Every conversation stopped.
Victoria wore black.
It was the first time Nathan had ever seen her choose a color that did not ask to be admired.
She looked composed, almost mournful.
The bandage around her wrist had grown larger overnight.
Nathan sat at the head of the table.
"Good morning."
Nobody answered.
Frederick took his chair.
"This emergency session is called to order."
Nathan looked at Victoria.
"Why is a person under investigation for assault present?"
Sebastian spoke.
"No charges have been filed."
"Yet."
Victoria folded her hands.
"Nathan, I came because I care about what your impulsive decisions are doing to the company."
Nathan stared at her.
"You hit Grace with a hockey stick."
"I defended myself."
"You filed a family court petition before the confrontation happened."
Victoria's eyes flickered.
"My lawyers filed a safety petition based on earlier concerns."
"A paragraph described the assault before it occurred."
One director shifted in his chair.
Victoria recovered.
"Then there was an administrative error."
Nathan turned toward the directors.
"Does anyone here believe that?"
Silence.
Sebastian placed a folder on the table.
"This is exactly why we are here."
Nathan looked at him.
"Because I ask questions?"
"Because you are making accusations while emotionally compromised."
Nathan smiled without humor.
"There it is."
He looked around the room.
"The capacity route."
Frederick stiffened.
Two directors looked at each other.
Sebastian's face remained still.
Nathan continued.
"Five years ago, my father and Sebastian Vale signed a memorandum discussing what to do if Grace Mercer refused to disappear."
He placed a copy on the table.
"Someone wrote, pursue capacity route."
A director named Helen Cross reached for the document.
Sebastian did not.
Nathan noticed.
"You have seen it before," Nathan said.
Sebastian leaned back.
"I have seen many old drafts."
"This one has your signature."
"A signature does not validate every handwritten note added later."
"Convenient."
Frederick cleared his throat.
"Nathan, we will examine any evidence through appropriate counsel."
"Which counsel?"
Nathan looked toward the general counsel, Peter Lang.
"Peter, is your name on the Vale retainer list?"
Peter's face drained of color.
The room went silent.
Nathan had not known the answer.
He had been testing Charles's warning.
Peter's reaction answered for him.
"I advised Vale entities before joining Cole Industrial," Peter said.
"How long before?"
"Several years."
"Did you advise Vale Family Counsel on Grace Mercer?"
"That would be privileged."
Nathan leaned back.
"You just told me more than a yes would have."
Frederick closed his eyes.
Victoria looked at Peter with barely concealed fury.
Nathan caught that too.
"This meeting is over," Nathan said.
Frederick shook his head.
"It is not."
He opened a red folder.
"Three directors have moved to invoke Section Nine of the governance agreement."
Nathan knew the section.
Temporary suspension of the chief executive for conduct creating extraordinary risk.
"Who are the three?"
Frederick named them.
All three had been appointed during Charles's tenure.
Nathan looked at each man.
"And what extraordinary risk have I created?"
One director answered.
"Your public acknowledgment of an unverified heir could trigger claims against family trusts, voting shares, and planned transactions."
Nathan stared at him.
"The DNA test verified her yesterday."
"Preliminarily."
"Ninety-nine point nine nine nine seven percent."
"The lab has not completed full certification."
Nathan looked at Victoria.
"You were counting on that delay."
She gave him a wounded expression.
"I was counting on you being rational."
"You tried to have my daughter removed from her mother."
"I tried to protect you from a woman who has lied to you for five years."
Grace's fear flashed in Nathan's mind.
Then Charles's confession.
Then Rourke's recorded admission.
Nathan placed his phone on the conference table.
"Would anyone like to hear what Caleb Rourke said last night?"
Sebastian's face changed.
Just slightly.
Nathan pressed play.
Rourke's voice filled the room.
Your father ordered Lily's existence contained.
The child was to remain outside the Cole family structure until the Vale consolidation became irreversible.
Sebastian Vale funded part of the arrangement.
The recording ended.
Nobody spoke.
Frederick looked physically ill.
Helen Cross stared at Sebastian.
Victoria's expression remained fixed, but her fingers had locked together.
Peter Lang whispered something under his breath.
Nathan turned to Sebastian.
"Do you want to call that an administrative error too?"
Sebastian smiled.
It was not a pleasant smile.
"I want to call it what it is."
He looked around the table.
"An illegally obtained recording from a disgruntled security employee facing criminal exposure."
Nathan laughed.
"You really do have a sentence for everything."
"Because I think before I act."
Sebastian's eyes hardened.
"Unlike you."
Frederick raised a hand.
"Enough."
He turned toward Nathan.
"The recording changes the board's understanding, but it does not resolve the governance issue."
"What governance issue?"
Frederick slid a document toward him.
"Your father's trust."
Nathan did not touch it.
"What about it?"
"The controlling shares of Cole Industrial are still held in the Charles Cole Family Trust until your forty-fifth birthday."
"I know my own trust."
"Then you know the trustee can suspend your voting authority if your actions threaten the preservation clause."
Nathan stared at him.
"The trustee is Meridian Fiduciary."
"Was."
Nathan looked up sharply.
Frederick's face was miserable.
"A succession instrument was activated after your father's death."
"Who is the successor trustee?"
No one answered.
Nathan already hated the silence.
Frederick finally spoke.
"Eleanor Vale."
For a moment Nathan believed he had misheard him.
"Victoria's mother controls my family trust?"
"Only under defined emergency conditions."
Nathan looked at Marcus, who sat along the wall as outside counsel.
Marcus was just as shocked.
"You did not know," Nathan said.
"No."
Sebastian's smile returned.
Nathan suddenly understood why Eleanor had been in the photograph at Harbor House.
She had never been merely Sebastian's wife.
She had been part of the architecture.
The boardroom doors opened.
Eleanor Vale entered wearing a cream suit and pearls.
She carried a leather folder.
Everyone stood except Nathan.
Eleanor walked to the table with the calm of someone arriving exactly when expected.
"Good morning, Nathan."
He stared at her.
"You threatened Grace."
Eleanor did not blink.
"Your father threatened Grace."
"You proposed declaring her incompetent."
"Charles wrote many things when he was frightened."
"I have a photograph of you holding her at Harbor House."
A flicker crossed Eleanor's eyes.
Then it vanished.
"Photographs lack context."
Nathan stood.
"I am starting to hate that word."
Eleanor placed the leather folder before Frederick.
"As successor trustee, I am invoking the preservation clause."
Frederick closed his eyes.
Nathan did not move.
"Meaning?"
Eleanor's voice was almost maternal.
"Your voting rights are suspended for thirty days."
"On what grounds?"
"Acute reputational risk, threatened destruction of trust assets, and impaired judgment arising from an undisclosed domestic crisis."
Nathan looked at the directors.
"You are going to allow this?"
Helen Cross stood.
"I want independent review."
Eleanor turned to her.
"You will have it."
Then she looked back at Nathan.
"Until then, you are relieved of executive authority."
Nathan felt fury press against his ribs.
"You planned this before yesterday."
Eleanor's expression softened.
"Nathan, your father planned for every possibility."
"Including his granddaughter?"
"Especially his granddaughter."
The room went silent.
Nathan stepped closer.
"Say that again."
Eleanor realized too late what she had admitted.
She recovered quickly.
"I have read the files."
"Which files?"
"The custody filings."
"Those do not call her my granddaughter."
Eleanor's eyes hardened.
Nathan turned toward Marcus.
"She knew before the DNA result."
Marcus was already writing the sentence down.
Sebastian stood.
"This meeting is adjourned."
Nathan looked at him.
"You do not chair this board."
"Neither do you anymore."
It was the first openly cruel thing Sebastian had said.
Nathan smiled.
"Good."
Sebastian frowned.
"Good?"
"You all just made the same mistake."
Nathan picked up Charles's confession.
"You think taking the company away from me makes me weaker."
He looked around the room.
"It means I no longer have to protect it."
Eleanor's face changed.
Nathan saw fear.
Real fear.
He walked toward the doors.
Frederick called after him.
"Nathan, what are you going to do?"
Nathan stopped without turning.
"Find out what my father built this company on."
Then his phone buzzed.
A message from Detective Owen filled the screen.
Rourke had agreed to cooperate.
There was one line beneath it.
HE SAYS CHARLES KEPT A SECOND LEDGER.
Nathan turned slowly back toward Eleanor.
She was watching his face.
She could not see the message.
May you like
But somehow, judging by the sudden tension in her jaw, Nathan knew she already understood what he had just learned.
